The Customer (you) engage All Checked Limited (we/us) to provide the "Services" as defined below.
Agreement means the agreement for the provision of "Services" between you and us into which these Terms and Conditions are incorporated.
Services
We will: (i) provide access to a secure online Dashboard; and, (ii) negotiate a "Discount” on a "Home Improvement Agreement" with a "Supplier" on your behalf; and, (iii) engage the Supplier to carry out “Home Improvement Services"; and, (iv) hold the Deposit in a secure account until the Supplier has fulfilled its obligations under a Home Improvement Agreement.
Supplier means the contractor we engage to provide the "Home Improvement Services” at a discounted price. If we are unable, for any reason to engage the contractor described in the registration process we will engage an alternative contractor at no extra cost to you.
Home Improvement Services means the services you referenced during registration.
Home Improvement Agreement means the agreement for the provision of Home Improvement Services. The Home Improvement Agreement will be between you and the Supplier and is separate to this Agreement.
Total Price means the price you entered during registration. This is the maximum amount you agree to pay for Home Improvement Services.
Deposit means a deposit equal to 10% of the Total Price.
Discount means the price reduction that we will negotiate with the Supplier. The Discount will be applied to the Home Improvement Agreement.
Deliverables means all products and materials supplied to you by the Supplier in relation to the Home Improvement Services.
This Agreement constitutes an offer by you to engage us to provide Services on these Conditions.
This Agreement shall commence immediately on acceptance of these Terms and Conditions.
The Services supplied under this Agreement shall continue to be supplied until the Supplier has fulfilled its obligations under a Home Improvement Agreement.
The Supplier shall provide the Home Improvement Services in accordance with the Home Improvement Agreement.
The Supplier shall provide the Home Improvement Services with the degree of skill and care expected from a skilled and experienced operator engaged in the same type of business.
The Supplier shall complete the Home Improvement Services in a timely manner.
If either you or the Supplier wishes to change the scope or execution of the Home Improvement Services it shall submit details of the requested change to sales@allchecked.co.uk.
Neither party has any obligation to change the scope or execution of the Home Improvement Services unless and until the parties have agreed in writing the necessary variations to the price, and any other relevant terms of the Home Improvement Agreement to take account of the change.
The charges payable under this Agreement shall be the Total Price.
You agree to lodge the Deposit with us within 7 days of the commencement of this Agreement. Payment may be made by credit/debit card, BACS, or by cheque.
You agree to pay the remainder of the Total Price, less any Discount, to the Supplier in accordance with the terms of the Home Improvement Agreement.
The Supplier warrants that it will: (i) carry out the Home Improvement Services in a good and workmanlike manner and with reasonable skill, care and diligence; and (ii) repair or replace defective Deliverables free of charge during the relevant guarantee period(s).
The warranty shall only apply to the Home Improvement Services and Deliverables to the extent confirmed in the Home Improvement Agreement.
If we fail to negotiate a Home Improvement Agreement with a Supplier within 28 days of the formation of this Agreement, this Agreement will be terminated and we will refund the Deposit in full.
You shall have a period of 14 days to cancel this Agreement from the date of its formation. Any notice of cancellation must include your name and address and be sent by email to sales@allchecked.co.uk.
If you fail to pay the Deposit within 7 days of the formation of this Agreement this Agreement will be deemed to be cancelled by you.
If you cancel this Agreement you agree to reimburse us for any costs we incur prior to cancellation.
You acknowledge that we are only a party to any Home Improvement Agreement with the Supplier in our capacity as agent acting on your behalf. In the event that the Supplier is in breach of any Home Improvement Agreement for any reason, you accept that you have no right of action against us for any liabilities, costs, expenses, damages or losses you incur as a result of the Supplier’s performance or non performance of its obligations to you.
You acknowledge that the Supplier shall have a direct right of action against you in respect of any liabilities, costs, expenses, damages or losses incurred by the Supplier arising out of or in connection with your performance or non performance of your obligations under a Home Improvement Agreement with them.
The Supplier acknowledges that any Home Improvement Agreement is between the Supplier and the Customer only and by accepting it the Supplier acknowledges that we are only a party to it in our capacity as agent acting on behalf of the Customer. If, at any time, the Customer is in breach of a Home Improvement Agreement for any reason, the Supplier accepts that it shall have no right of action against us for any liabilities, costs, damages or losses it incurs as a result of the Customer’s performance or non-performance of its obligations under that Home Improvement Agreement.
If any provision (or part of a provision) of this Agreement is found by any court to be invalid, unenforceable or illegal, the other provisions will remain in force.
This Agreement is made for the benefit of the parties to it and (where applicable) their successors and permitted assigns and is not intended to benefit, or be enforceable by, anyone else.
No variation these Terms and Conditions shall be valid unless it is in writing and signed by both parties.
This Contract and any dispute or claim arising out of or in connection with it, shall be governed by, and construed in accordance with, the law of England and Wales.
